Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Via Nova Inc. ("Via Nova," "we," "us," or "our") governing your use of the Via Nova mobile application and related services (the "Service"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this requirement.

If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We encourage parents and guardians to be involved in their child's use of the Service.

3. Description of the Service

Via Nova is an educational platform that guides users through three stages of exploring and developing a business idea:

• Dreamforge — guided prompts to discover or refine a business idea
• Pathforge — learning tracks covering pitch development, budgeting, marketing, and related topics
• Launchpad — a personalized launch checklist and AI mentor guidance

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of significant changes.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to keep it current. Notify us promptly at [email protected] if you believe your account has been compromised.

5. Subscriptions and Payments

Certain features require a paid subscription. All purchases are processed through Apple's App Store or Google Play using their in app purchase systems.

• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
• You manage and cancel your subscription through your Apple or Google account settings, not through Via Nova.
• Refunds are handled by Apple or Google under their respective policies. We do not process refunds directly.
• Prices may change. We will provide notice of any price change before it takes effect.

6. AI Generated Content and No Professional Advice

The Service uses artificial intelligence to generate guidance, suggestions, checklists, and responses based on the information you provide.

This content is for educational purposes only. It is not legal, financial, tax, accounting, or professional business advice, and it should not be relied on as such. AI generated output may be incomplete, outdated, or incorrect. You are solely responsible for evaluating it and for any decisions you make.

Via Nova does not guarantee any particular business, financial, or educational outcome from use of the Service.

7. Intellectual Property

Our content. The Service, including its software, design, text, graphics, logos, and curriculum content, is owned by Via Nova and protected by intellectual property laws. We grant you a limited, non exclusive, non transferable, revocable license to use the Service for your personal, non commercial educational use.

Your content. You retain ownership of the ideas, responses, and other content you enter into the Service. You grant us a limited license to store, process, and display that content solely to operate and improve the Service for you.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Share your account with others or sell access to the Service
• Attempt to reverse engineer, decompile, scrape, or gain unauthorized access to the Service
• Upload harmful code or interfere with the Service's operation or security
• Harass, abuse, impersonate, or harm another person through the Service
• Submit content that is unlawful, hateful, threatening, or infringing on the rights of others
• Use the Service to develop a competing product

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your license to use the Service ends immediately. Sections that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error free, or secure, or that any content will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIA NOVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Via Nova Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Maine, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Maine, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you within the App or by email and update the effective date above. Your continued use of the Service after an update means you accept the revised Terms.

15. Apple and Google

These Terms are between you and Via Nova only, not with Apple or Google. Apple and Google are not responsible for the Service or its content, and have no obligation to provide support or maintenance for the Service. Apple and Google are third party beneficiaries of these Terms and may enforce them against you.
